Madifyx Service Terms
These Terms of Service (“Terms” or “Agreement”) govern your access and use of the website www.madifyx.com and all associated applications, dashboards, services, or platforms (collectively referred to as the “Website”), operated by Madifyx LLC (“Madifyx,” “we,” “us,” or “our”). By accessing or using any part of the Website or Services, you agree to be bound by these Terms. These Terms incorporate our Privacy Policy, Acceptable Use Policy (AUP), Subscription Documentation, and other related documents by reference.
If you are accessing the Services on behalf of a business or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms. If you do not agree to these Terms, do not use or access our Services.
1. SERVICES
Madifyx provides a licensed, all-in-one CRM and marketing automation software platform. The Services include, but are not limited to: contact management, email marketing, 2-way SMS, outbound and inbound calls, call tracking, call recording, funnel and website builder, online appointment scheduling, automation campaigns, survey/form builder, AI integrations, and performance reporting tools.
Madifyx reserves the right to modify or discontinue any feature at any time with or without notice.
2. REGISTRATION AND ACCOUNT SECURITY
To access Madifyx Services, you may be required to register and create a user account. You agree to:
- Provide accurate, current, and complete information
- Update your information as necessary
- Maintain confidentiality of your login credential
You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorized use.
3. LICENSE AND USE RESTRICTIONS
Madifyx grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your subscription. You may not:
- Reverse-engineer or modify any aspect of the platform
- Share, resell, sublicense, or redistribute access
- Circumvent security or access controls
- Use the Services to transmit spam, unlawful material, or malicious content
4. OUTBOUND MARKETING COSTS
Your subscription does not include costs related to outbound marketing services. These include:
- Outgoing Calls: $0.105 per minute
- Incoming Calls: $0.0638 per minute
- Phone Numbers: $8.63/number/month
- SMS (sent/received): $0.0593 per segment
- Emails (sent/received): $0.0053 per email
Additional Charges May Include: Call recordings, caller ID, validations, conference calling, answer machine detection, MMS, carrier fees, and A2P registration.
Messages via Instagram, Facebook, and Google My Business are free.
Wallet Requirement: You must maintain a wallet balance of at least $10 to use outbound services. This is charged after subscription and auto-renews based on usage.
Complimentary Credits: Non-transferable credits for SMS, calls, or emails are issued monthly and expire at the end of the billing period.
5. PAYMENTS AND BILLING
- Subscriptions are billed monthly or annually in advance
- Payment methods must remain current and valid
- Failed payments may result in service suspension
- Fees are non-refundable unless explicitly stated
6. USER CONTENT GUIDELINES
You may post or upload content through forms, reviews, and community areas. You agree not to upload content that
- Is false, harmful, defamatory, obscene, or threatening
- Infringes any intellectual property rights
- Violates any law or regulation
- Contains spam, unsolicited marketing, or malware
By submitting content, you grant Madifyx a non-exclusive, royalty-free, irrevocable, worldwide license to use, reproduce, modify, and distribute it for business purposes.
7. USER CONDUCT
You agree not to
- Interfere with the functionality or security of the Website
- Violate any laws or regulations
- Harvest user data or post private information
- Impersonate Madifyx or other users
Madifyx reserves the right to remove content or restrict access for violations
8. SNAPSHOT & SUB-ACCOUNT TRANSFER POLICY
Madifyx uses our platform's infrastructure and does not support snapshot creation for accounts transitioning out of our ecosystem. Transfers are only permitted in the event of an agency acquisition or merger. Clients leaving Madifyx are responsible for:
- Rebuilding assets (funnels, websites, automations)
- Exporting contacts and data manually
- Testing assets on their new platform
We do not guarantee support or functionality after transition.
9. SUPPORT AND AVAILABILITY
Madifyx targets 99% uptime excluding scheduled maintenance. Support is provided via email, chat, and ticketing. Premium plans include priority support.
10. THIRD-PARTY SERVICES
Madifyx integrates with services like Twilio, Stripe, OpenAI, and others. Use of these services may require separate accounts and terms. Madifyx is not responsible for disruptions caused by these services.
11. CONFIDENTIALITY
Each party agrees to protect the other’s confidential information using industry-standard safeguards and not disclose it to third parties, except as necessary for service delivery.
12. INTELLECTUAL PROPERTY
All intellectual property rights in the platform and content belong to Madifyx. You may not copy, reproduce, modify, distribute, or exploit any portion of the platform without written permission
13. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
- Madifyx shall not be liable for indirect, incidental, or consequential damages
- Total liability shall not exceed amounts paid in the 12 months prior to the claim
14. INDEMNIFICATION
You agree to indemnify and hold Madifyx harmless from any claims arising from:
- Your use of the Services
- Your violation of these Terms or applicable laws
Madifyx agrees to indemnify you against claims that the Services infringe third-party intellectual property rights when used as permitted.
15. TERMINATION
Either party may terminate the Agreement with 30 days’ notice or immediately upon breach. Upon termination:
- Access will be revoked
- All stored data will be deleted unless legally required to retain
16. MODIFICATIONS
We reserve the right to modify these Terms at any time. Updates will be posted on the Website and effective immediately upon publication. Continued use constitutes acceptance.
17. HARDSHIP EXTENSION
Clients subscribed for at least 6 months may request a one-time 30-day hardship extension by emailing support@madifyx.com. Approval is at Madifyx’s sole discretion.
18. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by the laws of the State of Florida, USA. Any disputes shall be resolved through binding arbitration in Florida.
19. ENTIRE AGREEMENT
These Terms, along with the Privacy Policy, AUP, and related documents, constitute the entire agreement between you and Madifyx. No oral agreements shall override this document.
